Deregistering your VOF, CV, or maatschap

To deregister a general partnership (VOF), a limited partnership (CV), or professional partnership (maatschap), you must dissolve it. You dissolve and deregister your partnership by post.

BV, NV, Association, Foundation, Cooperative:

1. Decide to dissolve

2. Report the dissolution to KVK, using form 17a

3. Choose your situation:

3.1 No debt or capital: Your business is deregistered.

3.2 More capital than debt:

3.2.1 Settlement: pay your debts and/or divide the capital. Note: Rules apply to settlements.

-Deregister your company using KVK form 17b.

- Your business is deregistered.

3.3 More debt than capital:

3.3.1 Creditors agree with settlement. Pay your debts and/or divide the capital. Note: Rules apply to settlements.

- Deregister your company using KVK form 17b.

- Your business is deregistered.

3.3.2 Creditors do not agree with settlement:

- File for bankruptcy

- Curator deregisters business after processing bankruptcy.

Does your privaye limited company (BV) have no assets? If so, you can dissolve it and deregister it with KVK online in one go (fast-track liquidation). If the BV does have assets, you will need to follow a number of additional steps.

Does your foundation (stichting) or association (vereniging) have no assets? If so, you can dissolve it and deregister it with KVK online in one go (fast-track liquidation). If the organisation does have assets, you will need to follow a number of additional steps.

Deregistering a cooperative or public limited company

Public limited companies (NVs) and cooperatives (coöperaties) are legal entities. To deregister a legal entity, you must first dissolve it. This requires a formal decision. Who makes that decision depends on the legal structure:

  • for a public limited company: the general shareholders meeting
  • for a cooperative or mutual insurance association (onderlinge waarborgmaatschappij) : the members meeting

You then notify KVK of the dissolution. How you do this depends on your situation. Does your organisation have no assets? Then you can dissolve and deregister the legal entity in one go (fast-track liquidation). Does it have assets? Then you will need to follow a number of additional steps.

Deregistering an establishment or official

Do you not want to deregister not your company, but an establishment or an official? You can do this via the Dutch language online change form or by downloading a PDF form in English.

Do you want to deregister someone else, for example an authorised representative or UBO? Use the online change form on kvk.nl (in Dutch), or choose the right form on Forms for registration and reporting changes.

Proof of deregistration

You always receive a confirmation of your deregistration by mail. You can also order an extract from the Business Register as proof of your deregistration. Do you want to check if another company or organisation has been deregistered? You can still find deregistered organisations in the Business Register (use 'Uitgebreid zoeken', extensive search). The entry will state that the company has been deregistered from the Business Register.

You cannot put your company on hold

Do you want to temporarily stop working on your business? For example, to study, travel, or a period of paid employment. It is not possibe to put your business on hold. If you are not active with your business for more than 6 months, , you must deregister. If you want to continue with your business later, you need to register again. You will then get a new KVK number, VAT identification number and VAT tax number.
