You can list your business on the stock exchange. The NPEX is a stock exchange for small- and medium-sized business owners (SMEs). Here, you can raise funds directly from investors to finance your business. Read how financing through NPEX works.

What is NPEX?

NPEX stands for Nederlandsche Participatie Exchange. It is a (securities) exchange for entrepreneurs from small and medium-sized businesses. The online investment platform allows investors to invest directly in your business without the intervention of banks or other parties.

Is NPEX suitable for you?

Do you want to make a big investment, such as a new business location or a large machine? Or do you have other plans for growing your business. If you cannot get the money through the bank or other forms of external financing, NPEX could be an option.

Shares or bonds

You can get financing via NPEX in 2 ways:

  • You can issue a bond (obligatielening). A bond is a loan with a certain duration. You pay interest to your investors. You agree on the amount of interest in advance.
  • You can issue shares (aandelen). With a share, you give investors a part of the ownership of your company.

How do you get listed on NPEX?

If you want to find investors through NPEX, your company must meet certain conditions. For instance, your company must have existed for at least 3 years. In the last 3 years, your company must have had at least 1 year of profit. In addition, NPEX thoroughly checks your company. You must prepare a prospectus. This is a mandatory document in which you describe the conditions for issuing shares in your business. And you must publish financial accounts and half-yearly figures every year.

What does a listing on the NPEX exchange cost?

There are costs associated with NPEX. There is a fixed starting cost. You will also pay variable listing fees and annual management fees. Also count on spending money on advice. For example, in drawing up the mandatory documents, such as a prospectus.

Stock prices on NPEX

Investors can trade your shares and bonds with each other via NPEX. Supply and demand can cause the value to rise or fall as a result. This creates stock prices. These rates are tracked on NPEX.
